Sunlogic Terms of Service and Software License Agreement

Effective September 29, 2026.

These terms govern use of the Sunlogic contractor operations platform provided by Solsun South LLC dba Sunlogic Contractor Services, St. George, Utah, United States ("Sunlogic," "we," or "us"). Contact: office@sunlogic.pro. By accessing or using Sunlogic, you agree to these terms. If you do not agree, do not use the service.

Who may use Sunlogic

You must be an adult authorized to use the service. If you act for a company, you must have authority to accept these terms for that company. The company is responsible for selecting its administrators and authorized users, granting appropriate access, and removing access when no longer needed. Keep account credentials secure and report suspected unauthorized use promptly.

Software license

Subject to these terms and any applicable written service agreement, Sunlogic grants the customer a limited, nonexclusive, nontransferable right for its authorized users to access the hosted service for its business operations during the authorized service period. Sunlogic retains ownership of the platform and its software. This agreement does not transfer software ownership or grant a right to resell the platform, except under a separate written agreement.

Your records and instructions

You retain ownership of the records and files you provide. You authorize Sunlogic and its service providers to host, process, transmit and display that content as necessary to operate the service and carry out your instructions. You are responsible for having appropriate rights and permissions to enter personal information, upload files and send communications.

Your company controls its workspace permissions and business decisions. Review imported information, matches, calculations, addresses, pricing, taxes, retainage, payment records and documents before relying on them, sending them or posting them to another system. Keep records needed for your business and legal obligations.

Connected services and communications

Connecting QuickBooks, Gmail or another service authorizes the access described in the connection flow. Connect only accounts you are authorized to manage. Third-party services have their own terms, availability and access requirements. Disconnecting stops integration access but does not undo earlier imports, recalls, deliveries or business decisions.

The QuickBooks integration supports company verification, selected imports of customers, vendors and accounting references, explicitly requested standard invoice, purchase order, vendor Bill and paid Expense exports, and manually requested customer invoice payment refreshes. Review the selected customer or vendor, items, accounts, dates and amounts before export. Automatic background synchronization is not enabled. Gmail enables authorized outgoing messages. Future features may require additional authorization.

When requesting an electronic acknowledgement or signature, you are responsible for the document, recipient, authority to sign and any consent or recordkeeping requirements. Sunlogic does not guarantee that a particular signature process meets every requirement for every document or jurisdiction.

Acceptable use

Do not use the service unlawfully, upload malicious content, send unauthorized or deceptive communications, attempt to access another company's information, bypass permissions, or interfere with the service. Do not copy or reverse engineer the software except where applicable law expressly permits it. Report security issues privately to office@sunlogic.pro.

Fees and additional services

Fees, implementation work, any trial or pilot period, renewal arrangements and cancellation terms must be specified in a separate written order or service agreement. These terms alone do not establish a subscription price, automatic renewal or payment authorization. Bookkeeping, payroll, tax, accounting or other managed services require a separate written agreement defining their scope.

Availability and changes

Features may change and service may be interrupted by maintenance, errors or third-party outages. Pilot or preview features may be incomplete. No uptime guarantee is created by these terms; any service-level commitment must be separately agreed in writing. We will communicate material changes to these terms as required by applicable law and the applicable agreement.

Suspension, termination and records

We may restrict access when reasonably necessary to address a security risk, unlawful activity or material misuse. Where practical, we will give notice and an opportunity to resolve the issue. Either party may end service according to the applicable written agreement. Contact office@sunlogic.pro to arrange account closure or an available export; closure and deletion are distinct processes. Retention, deletion and any transition assistance will follow applicable law, the privacy policy and the written agreement.

Professional review and responsibility

Sunlogic provides operational tools. Software access alone does not constitute legal, tax or accounting advice or an engagement for professional services. The customer remains responsible for reviewing records and obtaining appropriate professional advice. Nothing in these terms excludes rights or responsibilities that cannot lawfully be excluded.

Privacy and general provisions

The Sunlogic Privacy Policy explains how information is handled. Read the Sunlogic Privacy Policy. A separately signed agreement controls if it expressly overrides a conflicting provision here. If a provision cannot be enforced, the remaining provisions continue to apply to the extent permitted by law.
